1. Scope

These Terms and Conditions apply to all quotations, sales, and invoices issued by PM Essentials LTD (“the Seller”) to any customer (“the Buyer”), unless otherwise agreed in writing.

2. Prices and Payment

  • All prices are in Euro (€) unless stated otherwise.

  • VAT will be applied according to Cyprus and EU legislation.

  • Invoices are payable within the agreed payment terms (default: 30 calendar days from the invoice date).

  • Payments must be made by bank transfer to the account indicated on the invoice, unless otherwise agreed.

  • The Buyer is responsible for any bank charges or transfer fees.

3. Late Payment

  • Interest may be charged on overdue amounts at 10% per annum.

  • The Seller reserves the right to suspend further deliveries or services until outstanding payments are settled.

  • In case of continued non-payment, the Seller may engage debt recovery services or legal action, and all costs will be borne by the Buyer.

4. Delivery and Risk

  • Goods are delivered according to the agreed Incoterms (EXW, CIF, etc.).

  • Risk passes to the Buyer upon delivery of the goods to the agreed location or carrier.

  • Delivery times are indicative and delays shall not entitle the Buyer to cancel the order or claim damages.

5. Warranty

  • Goods are covered by a 24-month warranty against manufacturing defects, starting from the delivery date.

  • The warranty does not cover damage caused by misuse, improper installation, accidents, or physical damage.

  • Claims must be submitted in writing within 7 days of discovering a defect.

6. Returns

  • No goods may be returned without prior written authorization from the Seller.

  • Authorized returns must be unused, in original packaging, and returned at the Buyer’s expense unless otherwise agreed.

7. Liability

  • The Seller shall not be liable for any indirect, incidental, or consequential damages.

  • The Seller’s liability is limited to the value of the defective goods supplied.

8. Governing Law and Jurisdiction

  • These Terms and Conditions shall be governed by the laws of Cyprus.

  • Any disputes arising from these Terms shall be submitted exclusively to the courts of Larnaca, Cyprus.

9. Acceptance

By placing an order or accepting delivery of goods/services, the Buyer acknowledges acceptance of these Terms and Conditions.
